Employees of Lifetime Entertainment Services ("Sponsor"), EZSweeps.com, Wicked, Hilton New York, Azalea and each of their respective parent companies, subsidiaries, affiliates, retailers, suppliers, distributors, hotels, advertising/promotion agencies (collectively, "Released Parties") and their immediate family members (mother, father, brothers, sisters, sons, daughters and spouse) and/or those living in the same household of any such employees are not eligible to enter or win. Sweepstakes is void in Alaska and Hawaii and where prohibited by law.

How To Participate: Between 10:00:01AM ET on 10/1/05 and 9:59:59AM ET on 11/1/05 ("Promotion Period"), visit: 1.) www.lifetimetv.com, fully complete the online entry form in accordance with the instructions provided, and click on the "Submit" button to receive one Sweepstakes entry; or 2.) www.ezsweeps.com, select the Lifetime Television tab and click on the enter button to receive one Sweepstakes entry. By entering this Sweepstakes, entrants give their express permission to be contacted by Sponsor by telephone, e-mail and/or postal mail for Sweepstakes purposes only. Entrants must provide a valid e-mail address to enter. Limit one entry per person and per valid e-mail address per day, regardless of method of entry. Additional entries received on either site from any person or e-mail address during any one day of this Sweepstakes will be void. For the purpose of this Sweepstakes each day will begin at 12:00:00AM ET and end at 11:59:59PM ET with the exception of 10/1/05 which will begin at 10:00:01AM ET and 11/1/05 which will end at 9:59:59AM ET. Entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to the e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor. Sponsor is not responsible for lost, incomplete, late, damaged, or misdirected entries; failures or malfunctions of phones, phone lines or telephone systems; interrupted or unavailable network, server or other connections including those through and/or by www.lifetimetv.com and/or www.ezsweeps.com; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; printing errors appearing within these Official Rules or in any Sweepstakes-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play of this Sweepstakes. The use of automated entry or similar devices, with the exception of entry on www.ezsweeps.com as set forth above, is prohibited and entries through such devices are void.

Winner Selection: Winners will be selected in a random drawing by Sponsor from among all eligible entries received during the Promotion Period on/about 11/10/05. Winners will be notified by telephone, e-mail and/or postal mail on/about 11/10/05. Odds of winning will depend on the number of eligible entries received. Limit one prize per person, family or household.

(1) Grand Prize: 3-day/2-night trip for winner and up to three (3) guests to New York City consisting of round-trip coach air transportation from major airport near winner's residence in the U.S., quad occupancy hotel accommodations (1 Room) at the Hilton New York, (4) tickets to see the Broadway musical Wicked, and lunch for four (4) with Rue McClanahan and a guest of her choice (total 6 for lunch; winner, 3 guests, Rue McClanahan and a guest) at Azalea Restaurant (Total ARV=$4,000). Actual value of prize may vary depending on winner's city of departure. Travel and hotel arrangements to be determined by Sponsor. Winner and guests must travel together on the same itinerary. Travel and accommodation restrictions may apply. Trip (including lunch) must be taken on dates and times designated by Sponsor and by December 22, 2005 at the latest or prize will be forfeited in its entirety and may be awarded to an alternate winner. Sponsor, in its sole discretion, reserves the right to provide ground transportation in place of air transportation if the winner lives within a reasonable driving distance of New York City as determined by Sponsor. Exact seat locations at Wicked to be determined by Sponsor in its sole discretion. If any prize-related activity(s) is canceled or postponed for any reason (including, without limitation, if Wicked is canceled or postponed or if Rue McClanahan is unavailable for lunch), travel prize will be awarded less applicable prize-related activity(s) and Sponsor will substitute that activity(s) with an item(s)/activity(s) of equal or greater value as determined solely by Sponsor. Prize details not specifically set forth herein are at Sponsor's sole discretion. Other restrictions may apply. All costs, including federal, state and local taxes, meals, alcoholic beverages, excursions, processing fees, tips, insurance, and other expenses not specifically identified as included in a prize, are the sole responsibility of the Grand Prize winner.

Miscellaneous: No transfer, assignment, cash redemption or substitution of prizes except by Sponsor due to prize (or portion of prize) unavailability and then for a prize (or applicable portion of prize) of equal or greater value. Grand Prize winner will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release (the "Affidavit/Releases") within 5 days of issuance of notification. Grand Prize winner's guests must be 21 years of age or older as of 10/1/05 and will also be required to sign and return a Liability Release and (where legal) Publicity Release within 5 days of issuance of notification to winner. Noncompliance with any of the foregoing may result in disqualification and awarding of prize to an alternate winner. If any prize notification is returned as non-deliverable, winner may be disqualified and an alternate winner may be selected. Designation of the winners is subject to verification of the Affidavit/Release; winner and guests agree to cooperate with any formal background investigations that Sponsor deems necessary, including, without limitation, any investigation into civil, criminal, financial history and /or other type of background investigation. By participating, entrants agree to be bound by these Official Rules and agree that: 1.) Released Parties and their designees may use (unless prohibited by law) their name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for the purpose of winner announcements on Sponsor's television programming (and the advertising and/or promotion thereof) and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification and 2.) Released Parties and their designees and assigns shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize (including any travel or other activity related thereto) or participation in this Sweepstakes. Sponsor reserves the right, in its sole discretion, to modify, terminate or suspend this Sweepstakes should virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of Sponsor corrupt or impair the administration, security, fairness or proper play of the Sweepstakes and, in the event of termination or suspension at its discretion, select winners from those eligible, non-suspect entries received prior to event requiring such termination or suspension.
