Eligibility: Lifetime's Back to Basics Sweepstakes (the "Sweepstakes") begins at 10:00:01 AM ET on March 1, 2007 and ends on 11:59:59 PM ET on April 1, 2007 (the "Promotion Period") and is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of entry. Officers, directors and employees of Lifetime Entertainment Services ("Sponsor"), AEG Live, LLC, Christina Aguilera and Azoff Music Management (collectively, the "Promotion Entities"), and each of their respective parent companies, subsidiaries, affiliates, retailers, suppliers, distributors, advertising and promotion agencies, and their immediate family members (mother, father, brothers, sisters, sons, daughters and spouse, regardless of where they reside) and/or those living in the same household of any such officers, directors and employees, whether or not related, are not eligible to enter or win. Sweepstakes is void where prohibited by law. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and with the decisions of Sponsor, which shall be final and binding in all respects.

How To Participate: There are two ways to enter during the Promotion Period: (1) Lifetime Online: Visit www.lifetimetv.com (the "Website"), follow the instructions to complete the online entry form with the information requested, and click on the "Submit" button to receive one Sweepstakes entry; or (2) Text Messaging: Text the Keyword BASICS to 58463 (LTIME) using a wireless device capable of two-way text messaging (you must provide your own device). Once you have properly text messaged the Keyword to the Short Code, you will be sent a reply text message confirming your entry. Important Notice for Text Messaging Method: Your wireless service provider may charge you for each text message, including error messages, you send and receive. Please consult your wireless service provider regarding your pricing plan. You must be a wireless service subscriber with text messaging service, using a participating service provider in order to enter via this method. Not all cellular phone providers carry the necessary service to participate in this Sweepstakes. Check your phone capabilities for specific text messaging instructions. NOTE: By submitting an entry via text message, entrants are giving their express authorization to receive future mobile service commercial messages from Lifetime Entertainment Services. Entrants will be provided with an opportunity to opt out in all subsequent commercial messages by sending any of the following words to 58463 (LTIME): STOP, QUIT, END, UNSUBSCRIBE or CANCEL. Limit one entry per person, wireless phone number or valid e-mail address per day, regardless of method of entry. Additional entries received from any one person, wireless phone number or e-mail address during any one day of this Sweepstakes will be void. For the purpose of this Sweepstakes, each day will begin at 12:00:01 AM ET and end at 11:59:59 PM ET, with the exception of the first day of the Sweepstakes, which will begin at 10:00:01 AM ET on March 1, 2007. The name of the "authorized account holder" of the wireless telephone number used to enter by sending a text message or e-mail address used to enter online will be deemed to be the entrant. The authorized account holder is defined as the natural person (i) who is assigned to a wireless telephone number by a wireless service provider or (ii) who is assigned an e-mail address by an Internet access provider, an online service provider, or another organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Proof (to Sponsor's satisfaction) that a potential winner is the authorized account holder of the e-mail address or wireless telephone number associated with the winning entry may be required by Sponsor. If a dispute cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible. Sponsor is not responsible for lost, incomplete, late, damaged, or misdirected entries or prize notifications, text or email messages; failures or malfunctions of phones (including wireless phones/handsets), phone lines or telephone systems or other communications malfunctions; cellular equipment towers, telephone or cellular systems or wireless services; interrupted or unavailable network, server or other connections including those through and/or by the Website; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant's or any other person's computer or wireless phone related to or resulting from participation in this Sweepstakes; printing or other errors appearing within these Official Rules or in any Sweepstakes-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic, cellular telephone related or otherwise. The use of automated entry or similar devices is prohibited and entries made through such devices are void. By entering this Sweepstakes, entrants give their express permission to be contacted by Sponsor by telephone, e-mail and/or mail for Sweepstakes purposes.

Winner Selection: The winners will be selected in a random drawing from among all eligible entries received during the Promotion Period. The drawing will be conducted by an independent judging organization whose decisions are final and binding in all matters relating to this Sweepstakes. Winners will be notified by telephone, e-mail and/or mail using the contact information provided at the time of entry. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. If, despite reasonable efforts, a potential winner does not respond within five (5) days of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. Sponsor will successively attempt to contact up to two (2) potential winners of the prize in accordance with such procedure, and if there is still no confirmed winner of the prize in question after such attempts have been made, the prize may go unawarded.

Prizes: One (1) Grand Prize is available. The Grand Prize winner will receive a three-days/two-nights trip for winner and one (1) guest to see Christina Aguilera live in concert at the Bank Atlantic Center in Ft. Lauderdale, Florida on May 5, 2007. The Grand Prize travel package includes: two (2) round trip coach-class tickets from the major U.S. gateway city airport closest to the winner's residence to an airport within the vicinity of Ft. Lauderdale, Florida; one (1) standard hotel room (double occupancy) for a two (2) nights stay; and two (2) tickets to the concert. The Approximate Retail Value ("ARV") of the Grand Prize is $1200. Actual value of Grand Prize may vary depending on Grand Prize winner's city of departure. All travel, hotel and other arrangements must be made through Sponsor, and trip must take place between Friday, May 4, 2007 and Sunday, May 6, 2007. Airfare does not include government taxes, Passenger Facility Charge or September 11th Security Fee. All such costs must be paid by the winner and his or her guest and are due at time of confirmation of the requested dates; once paid these are non-refundable. Ground transportation to and from the winner's house will not be provided as part of the overall travel package. Travel package is non-transferable, non-extendable, and non-exchangeable. Other travel/accommodation restrictions may apply. Trip must be taken on dates and times designated by Sponsor or prize will be forfeited in its entirety and may be awarded to an alternate winner. Sponsor is not responsible for travel delays or concert cancellations.

The Grand Prize winner's travel companion(s) must be 18 years of age or older, or if any companion is a minor, the winner must be such minor's parent or legal guardian or travel with the permission of such minor's parent or legal guardian in form and substance acceptable to Sponsor in its sole and absolute discretion. Grand Prize winner and his or her travel companion must travel on the same itinerary and possess all required travel documents, including visas and valid passports, if and as applicable. Grand Prize winner must comply with all hotel check-in requirements, including but not limited to the presentation of a major credit card. Flight insurance, travel insurance, gratuities, personal expenses and all other expenses not specified as being awarded herein are the sole responsibility of Grand Prize winner and guest(s). Grand Prize winner's travel companion must sign and return a Liability Release and (where legal) a Publicity Release prior to ticketing of prize. Changes not permitted after ticket issue. Air tickets are not valid for upgrades and/or frequent flyer miles. All tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes. In the event a winner or his or her guest(s) engage in behavior that (as determined by Sponsor in Sponsor's sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip, early and send the winner and/or his or her guest(s) home with no further compensation. If the closest airport to Grand Prize winner's home is in close enough proximity to the destination city so that, as Sponsor may determine in its sole discretion, a flight is unnecessary, prize will include ground transportation, in lieu of air transportation, from Grand Prize winner's residence to the destination city. In the event that the concert listed in the prize description does not or cannot take place as scheduled or at all, for reasons including but not limited to scheduling conflicts, cancellations, postponement, an event of force majeure, or for any other reason, then in lieu of attending the concert, the Grand Prize winner will receive $100, and such amount plus the remaining components, if any, of the Grand Prize shall constitute full satisfaction of Sponsor's prize obligation to the Grand Prize winner, and no other or additional compensation will be awarded.

Twenty (20) Runner-Up Prizes are available. Each Runner-Up Prize winner will receive a signed copy of Christina Aguilera's Back to Basics CD. The ARV of each Runner-Up Prize is $12. The odds of winning a prize will depend on the total number of eligible entries received. Limit one (1) prize per person, immediate family member, or household.

General Prize Conditions: Prizes will be awarded only if the potential winner fully complies with these Official Rules. All costs, including federal, state and local taxes, meals, insurance, and other expenses not specifically identified as included in the prize, are the sole responsibility of the winner. No transfer, assignment, cash redemption or substitution of prizes (or portion of prize) except by Sponsor due to prize unavailability and then for a prize (or applicable portion of prize) of equal or greater value as determined by Sponsor. All details and other restrictions of prizes no specified in these Official Rules will be determined by Sponsor in its sole discretion. Each potential prize winner will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release (collectively, "Prize Claim Documents") within (5) days of issuance of notification. If the winner is considered to be a minor in his or her state of residence, at Sponsor's option, the applicable prize either will be awarded to the minor winner's parent or legal guardian on behalf of the winner, or the parent or legal guardian of the minor winner will be required to ratify and sign the Prize Claim Documents. Non-compliance with the foregoing may result in disqualification and awarding of prize to an alternate winner. If any prize notification letter or prize is returned as undeliverable, winner will be disqualified and an alternate winner may be selected. Confirmation of prize winners is subject to Sponsor's verification of the Prize Claim Documents.

General Liability Release: By participating in the Sweepstakes, each entrant agrees to be bound by these Official Rules and agrees that the Promotion Entities and their designees and assigns: (1) may use (unless prohibited by law) entrant's name, voice, city/state of residence, photograph and/or likeness for advertising and/or trade and/or for the purpose of announcing the Sweepstakes winner(s) on Sponsor's television programming (and the advertising and/or promotion thereof) and/or for any other purpose in any media or format now or hereafter known without further compensation, permission or notification; (2) shall have no liability and will be held harmless from any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of prize (including any travel or activity related thereto) or participation in this Sweepstakes or any Sweepstakes-related activity; and (3) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including without limitation, to such prize's quality or fitness for a particular purpose. Sponsor reserves the right, in its sole discretion, to modify, suspend or terminate this Sweepstakes (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of Sponsor, including but not limited to war, strikes, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Sweepstakes and, in the event of termination or suspension, at its discretion, select winners from among eligible, non-suspect entries received as of the date of the event giving rise to such termination or suspension. Inclusion in such drawing shall be each entrant's sole and exclusive remedy under such circumstances. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

Governing Law/Jurisdiction: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS.

Arbitration Provision: By participating in this Sweepstakes, each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against, the Promotion Entities relating to, arising out of or connected in any way with (i) the Sweepstakes, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, will be resolved individually and exclusively by final and binding arbitration administered by the National Arbitration Forum (the "Forum") and conducted before a sole arbitrator pursuant to the Code of Procedure established by the Forum. The arbitration shall be held at a location determined by the Forum pursuant to the Code of Procedure, or at such other location as may be mutually agreed by the participant and Sponsor. The arbitrator's decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Sweepstakes. There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the participant's and/or Sponsor's individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator shall not have the power to award punitive damages against the participant or Sponsor.
